Broadcom will buy VMware in a $61 billion cash and stock transaction based on the closing price of Broadcom common stock on May 25, 2022, the company announced Thursday.
The deal would be one of the big tech wins of all time, following Microsoft's upcoming $69 billion deal to buy Activision Blizzard also its $67 billion purchase of EMC from Dell in 2016.
VMware's acquisition of Broadcom will help the company shift its focus from its core semiconductor design and distribution business to enterprise software, which may have higher margins. Enterprises use VMware products to manage their servers and cloud servers more efficiently.
Broadcom is the most attractive semiconductor company and has used mergers strategically to fuel its growth in recent years. He previously bought CA Technologies in 2018 for $18.9 billion and Symantec in 2019 for $10.7 billion.
But Broadcom hasn't made a significant acquisition since 2019. In March, Broadcom CEO Hawk Tan said the company had "the capacity to make good acquisitions."
Broadcom planned to buy Qualcomm for $117 billion in 2018 before then-President Donald Trump scrapped the deal on national security grounds.
VMware split from Dell late last year to pay off its debt. Dell originally acquired the company when it bought EMC in 2016. Michael Dell, CEO, and founder of Dell owns about 40% of VMware.
